Terms of Service

Amelio is made by TakeOnePiece LLC, doing business as Mindful Suite. Please read these terms before using the app or website.

This page gathers the generally applicable Mindful Suite terms and the Amelio-specific terms into one readable agreement for Amelio. The Mindful Suite Terms of Service also apply and remain the controlling version if this copy differs. Section 11 requires individual arbitration and waives class actions and jury trials for most disputes, unless you opt out within 30 days.Amelio is not medical or mental-health care (Section 3).

1. Agreement, eligibility and changes

By creating an account, buying something or using Amelio, you agree to these terms and acknowledge our Privacy Policy. If you do not agree, do not use Amelio. You must be at least 13, or the higher minimum age for independent data-processing consent in your country (up to 16 in the EEA and UK). If you are under 18, your parent or guardian must agree. You may not use Amelio where law bars it. We may update these terms and will post the new version with a date. For material changes, we will notify you in the app or by email before they take effect. If you do not accept them, stop using Amelio and delete your account.

2. Your account

Keep your sign-in secure, provide accurate information, and tell us promptly if you suspect unauthorized use. You are responsible for activity under your account. Accounts belong to one person; do not share, sell or transfer yours.

3. Not medical, mental-health or professional advice

Amelio is a wellbeing and reflection tool, not a medical device. It does not diagnose, treat, cure or prevent any condition. Mood logs, body scans, colour reflections, progress insights, journal prompts, companion reactions and AI output are not medical, psychological, therapeutic or other professional advice, and create no professional relationship. Seek qualified professional advice when you need it; do not delay care because of the app. Do not use Amelio in an emergency. If you might harm yourself or others, contact local emergency services immediately; in the US, call or text 988 or call 911. People in your circle are not responsible for monitoring you or responding to what you share.

4. AI features

Where available, some features generate text, images or reactions with AI. Output can be wrong, incomplete, biased or similar to output for others; review it before relying on it. Do not generate unlawful, harmful, deceptive or sexually explicit material, or depict a real person without consent. As between you and us, you may use output generated for you subject to these terms and others’ rights; we do not guarantee uniqueness or freedom from third-party rights. We may limit or discontinue AI features.

5. Purchases, subscriptions and credits

Apple or Google processes in-app purchases under its terms. Subscriptions renew automatically at the then-current price unless you cancel at least 24 hours before renewal in your App Store or Google Play account. Deleting the app does not cancel a subscription. A free trial, if offered, becomes paid unless canceled before it ends. Apple or Google handles refunds under its policy; we cannot issue them. Credits and virtual items are a limited license to use features, have no cash value, cannot be exchanged, transferred or resold, and are forfeited on deletion or termination except where law requires otherwise. Prices, offers and features can differ by region and platform; you are responsible for applicable taxes. If we discontinue a prepaid subscription, a pro-rated refund may be available where law requires.

6. Your content and your circle

You own what you create and upload. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, adapt, transmit and display it solely to operate, secure and improve Amelio for you and the people you share with. We will not publish your content publicly or use it in marketing without separate permission. The license ends when you delete the content or account, apart from copies others received through sharing and limited residual backups.

You are responsible for what you share and must have the rights and permissions to share it. Get consent for photos of other people, including a parent or guardian’s consent for a child. Connections happen by invitation, code or QR; accept only people you trust. Posts begin private, and you choose only you, all friends or specific friends for each one. Replies are between the replier and post author. Recipients may screenshot or repeat content; we cannot control them. Do not copy, forward or publish another person’s post without consent. The companion is automated, not a person, therapist or crisis service.

7. Acceptable use and safety

You agree not to, or help others to:

You can block or report people in the app. We may review, remove or restrict content, connections or accounts that violate these terms or create risk, but are not obliged to monitor everything. If someone may be in danger, encourage them to contact emergency services.

8. Our property and feedback

Amelio’s software, designs, graphics, text, marks and other materials belong to us or our licensors. We grant you a limited, personal, revocable, non-exclusive, non-transferable license to use the app on devices you own or control for personal, non-commercial use. Feedback or suggestions you send may be used without restriction or compensation. For copyright complaints, email us with your contact details, the work and material at issue, its location, a good-faith statement of unauthorized use, a statement under penalty of perjury that the notice is accurate and you are authorized to act, and your signature. We may remove material and repeat infringers.

9. Termination, disclaimers and liability

You may stop using Amelio and delete your account at any time. We may suspend or terminate access or remove content if you violate these terms, create risk or legal exposure, or if we stop offering Amelio; we will give notice where reasonable. Terms that should survive do.

To the maximum extent permitted by law, Amelio and its content are provided “as is” and “as available” without express or implied warranties, including accuracy, uninterrupted operation, merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that data will not be lost or any result achieved.

To the maximum extent permitted by law, we and our affiliates, officers, employees, agents and licensors are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or lost profits, revenue, data, goodwill or use. Our total liability for claims relating to Amelio or these terms is the greater of the amount you paid us in the six months before the event or US$100. Some places do not allow these limits. Nothing limits liability that cannot lawfully be limited, including fraud or death or personal injury caused by negligence. To the extent permitted by law, you will defend and indemnify us from claims arising from your content, use or violation of these terms or others’ rights.

10. Amelio-specific terms

Share only what you are comfortable with your chosen audience seeing. Treat what others share with you as private. Companion reactions are automated and are not a therapist or crisis service. Only use reference photos of yourself or consenting people in image features. We may remove content or connections and restrict accounts that violate Section 7.

11. Disputes, arbitration and class waiver

Informal resolution. Before a claim, both sides will send a written description and try in good faith to resolve it for 60 days. Send ours to support@meetamelio.com.

Individual arbitration. Except as below, disputes about these terms or Amelio, including their formation and scope, are resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitrator may award individual relief a court could award. Either side may instead bring an individual small-claims case, or seek a court injunction for misuse or infringement of intellectual property.

Class action and jury waiver. Claims may be brought only individually, not as a class, collective, consolidated or representative action, and both sides waive a jury trial. An unenforceable class waiver is severed and heard in court, not arbitration. If 25 or more similar demands are brought by coordinated counsel, they may be batched in groups of up to 25 with one arbitrator per batch as AAA rules allow; limitations periods are tolled for demands awaiting a batch.

Opt out. You may opt out of this Section 11 within 30 days of first accepting these terms by emailing support@meetamelio.com with your name, account email and a clear opt-out statement. Other terms remain. To the extent law permits, claims must be brought within one year. Massachusetts law and the Federal Arbitration Act govern; arbitration is in Middlesex County, Massachusetts or by video unless rules require otherwise. Non-arbitrated claims go to state or federal courts in Middlesex County. If you are an EEA, UK or Swiss consumer, the arbitration, class-waiver, batching, opt-out and one-year provisions do not apply; you may sue where you live and retain mandatory local consumer protections.

12. Apple and Google app stores

For an iOS download, these terms are between you and us, not Apple. We, not Apple, are responsible for the app, support and claims about it. Your license follows Apple’s App Store Usage Rules for products you own or control. Apple has no support duty. If the app fails an applicable warranty, Apple may refund the purchase price but has no other warranty obligation to the extent law permits. We handle product-liability, legal-compliance, privacy and intellectual-property claims. You confirm you are not in a US-embargoed country or on a US prohibited-party list, and will comply with applicable third-party terms. Apple and its subsidiaries may enforce these terms as third-party beneficiaries. For Android downloads, Google Play’s terms also apply.

13. General

These terms, purchase terms and our privacy policy are the agreement about Amelio. If one provision is unenforceable, the rest remains. Failure to enforce is not a waiver. You may not assign these terms without our consent; we may assign them in a merger, acquisition, asset sale or to an affiliate. We are not liable for events beyond reasonable control. Notices may be electronic. Follow applicable export and sanctions law. There are no third-party beneficiaries except as in Section 12. If translated, the English version controls where permitted by law.
